PROCRASTINATION STATION LLC — WAIVER OF CLAIMS

1. DEFINITIONS

In this Waiver of Claims, "the Facility" refers to Procrastination Station LLC, including all premises, workspaces, equipment, tools, materials, common areas, parking areas, and any other property owned, operated, leased, or controlled by Procrastination Station LLC. "Member" refers to the individual agreeing to this Waiver of Claims through electronic acceptance. "Activities" refers to any and all activities undertaken at or in connection with the Facility, including but not limited to the use of tools, machinery, equipment, electronics, and materials; participation in classes, workshops, events, and open shop sessions; and general presence on the premises. "Released Parties" refers to Procrastination Station LLC, its owners, members, managers, officers, directors, employees, volunteers, agents, instructors, independent contractors, affiliates, successors, and assigns, both individually and collectively.

2. ELECTRONIC ACCEPTANCE

By checking the acceptance box and entering their initials, the Member agrees to be legally bound by all terms and conditions of this Waiver of Claims. The Member acknowledges that their electronic acceptance carries the same legal force and effect as a handwritten signature. The Member consents to the use of electronic records and signatures in connection with this Waiver of Claims pursuant to the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Texas Uniform Electronic Transactions Act.

3. WAIVER OF CLAIMS

The Member hereby WAIVES any and all claims, demands, causes of action, and rights to compensation or damages of any kind or nature whatsoever, whether currently existing or arising in the future, that the Member may have or may hereafter acquire against the Released Parties arising out of or related to the Member's presence at, use of, or participation in Activities at the Facility. This waiver includes, without limitation, claims based on negligence, breach of contract, breach of warranty, strict liability, or any other legal theory.

4. TYPES OF CLAIMS WAIVED

This waiver applies to, but is not limited to, the following types of claims:

• Claims for personal injury, bodily harm, illness, disability, or death;
• Claims for property damage, loss, or theft;
• Claims for emotional distress, mental anguish, or psychological harm;
• Claims for medical expenses, rehabilitation costs, or related healthcare costs;
• Claims for lost wages, loss of earning capacity, or loss of business opportunity;
• Claims for consequential, incidental, special, or punitive damages;
• Claims arising from the condition of the Facility, its equipment, tools, or materials;
• Claims arising from the actions, omissions, or negligence of other members, guests, or third parties present at the Facility;
• Claims arising from equipment malfunction, failure, or unexpected behavior; and
• Claims arising from instruction, training, guidance, or advice provided or not provided by the Released Parties.

5. COVENANT NOT TO SUE

The Member covenants and agrees not to initiate, pursue, or participate in any lawsuit, arbitration, or legal proceeding against the Released Parties based on any claim covered by this Waiver of Claims. If the Member initiates or pursues any such legal action in violation of this covenant, the Member agrees to pay all costs, expenses, and attorneys' fees incurred by the Released Parties in defending against such action.

6. WAIVER REGARDING GUESTS

The Member acknowledges that access to the Facility is restricted to registered members. This Waiver of Claims expressly extends to all claims arising from the presence, acts, omissions, injuries, or death of any guest the Member brings into or permits to enter the Facility. The Member waives any and all claims against the Released Parties related to injury, loss, or damage sustained by or caused by any such guest.

7. EXCEPTION

This Waiver of Claims does not apply to claims arising from the gross negligence or willful misconduct of the Released Parties.

8. GOVERNING LAW

This Waiver of Claims shall be governed by and construed in accordance with the laws of the State of Texas. Any dispute arising out of or related to this Waiver of Claims shall be resolved exclusively in the courts of competent jurisdiction located in the State of Texas.

9. SEVERABILITY

If any provision of this Waiver of Claims is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

10. BINDING EFFECT

This Waiver of Claims shall be binding upon the Member and the Member's heirs, personal representatives, executors, administrators, and assigns. This Waiver of Claims shall remain in effect for the duration of the Member's membership and for all subsequent visits to the Facility unless revoked in writing by the Member. Revocation shall be effective upon receipt by the Facility and shall not affect any claims arising prior to the date of revocation.

11. MEMBER ACKNOWLEDGMENT

By checking the associated box, I affirm the following:

• I have carefully read this Waiver of Claims in its entirety and fully understand its contents.
• I understand that I am waiving my right to bring legal claims against Procrastination Station LLC and the Released Parties, including claims for injuries caused by their negligence.
• I understand that this waiver includes a covenant not to sue and that I may be responsible for legal costs if I violate that covenant.
• I accept full responsibility for any person I permit to enter the Facility under my membership.
• I am agreeing to this document voluntarily and of my own free will, without any duress or coercion.
• I am at least 18 years of age and legally competent to enter into this Waiver of Claims.
